I'm thinking either the spark unit isn't receiving a signal from the trigger wheel, or there's loss of battery voltage to the coils or spark unit. Not sure if there are any adjustments for the trigger point gap, but should be in the manual somewhere.

I don't know if I am missing something here, but why not just do a simple spark test? Ground the plug on the case and see if you get spark.
If you have spark and fuel delivery, maybe a compression problem. Smell the oil, if it smells like fuel, you might have been dumping too much fuel in the cylinders and washed all the oil away, leading to no compression.

Definitely one of the first things I would do.. I mentioned it before, but I'm not sure if it's actually been checked or not and assumed that it was. Fuel, spark, and good compression is pretty much all these bikes need to run considering the timing is not adjustable.
OK heres the deal. I finally got back to this thing a few days ago. I took the pulse cover off, looked at it, took the timing wheel nut off and looked at that, put it back together and it fired up no problem. LOL No idea what was wrong.
So the spark is fixed.
I took it for a ride earlier today (yes i know its 30F outside), the new problem is now 2nd gear pop out.
So now the question is... Should i put the trans parts from the old motor in the new one? Or put the crank and bearings from the new motor into the old one?

Well you may as well split both engines right open (you'll have to for the trans anyways). Look at your journal wear, valve condition etc... All things equal - I'd swap the trans and leave the powerplant alone.
I 2nd that.. it would be much easier to swap the transmission parts. Might also look into putting a Factory Pro shift kit in while you have it apart too. It will prevent the pop outs and keep the other trans from getting damaged later down the road too.
